Terms and Conditions
Continental Green Produce, Inc. (herein “CGP”)
Official Contest Rules (“Official Rules”)
Guac Guru Recipe Contest (“Contest”) is only open to legal residents of the U.S. residing in the U.S. throughout the Promotion Period and who are 18 years of age or older as of January 1, 2012.
The contest begins January 1, 2012 at 12:01 a.m. MT and ends January 27, 2012 at 11:59 p.m. MT (“Promotion Period”), which is the culmination of the Contest.
HOW TO PARTICIPATE:
To participate, entrants must
- Write a brief essay on their love of the dip OléAvocado, no more than 50 words.
- Share the recipe they believe will win in a cooking “throw down” using OléAvocado guacamole
- Describe what they would do to promote their recipe using Facebook, Twitter or other creative online idea; no more than 50 words.
Entrants must go to www.OléAvocado.com (“OléAvocado® Website”) during the Promotion Period, set up an account, and submit an entry form.
Along with the entry form, recipe information must be completely filled out and be in standard recipe form (including exact standard U.S. measurements with ingredients and measurements in order of use) and must be complete. Entries must include step-by-step preparation, cooking times and temperatures; required utensils must be noted along with serving size and quantity. All entries missing one or more of the above elements may be disqualified.
ENTRIES MUST BE SUBMITTED BY JANUARY 27, 2012.
A submission must be entirely its own composition, executed solely by the entrant, and it must not have been published previously or won any other award. Nor shall the submission be subject to any restriction or limitation on the right to submit any portion of the entry into the Contest or to use any portion of the entry. The submission cannot defame or invade the publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any company or person’s personal or proprietary rights. No mechanically reproduced, illegible, incoherent, late, mutilated or incomplete entries will be accepted. CGP is not responsible for typographical errors, omitted ingredients or any other errors submitted by entrants. CGP will not be responsible for lost, late, damaged or destroyed, delayed, misdirected or mutilated submissions, or for any defects or malfunctions of electronic equipment, computer hardware or software, delays in operation, problems requesting (via mail or email) or uploading the entry form to the OléAvocado Website or for other technical problems relating to the internet.
By submitting an entry, each entrant agrees that, if selected as a finalist, his/her recipe submission will be shown on the OléAvocado Website during the promotional period. If selected as winners, entrants must be willing to conduct media interviews and make public appearances on behalf of CGP during and after the Contest. Entry in this contest constitutes permission to use entrants name, images/likenesses, voices information, as well as the contents of the entry in advertising and publicity, and for other promotional purposes in all media now known or hereafter devised (including, without limitation, in event photos posted on the OléAvocado Website and press materials) without notice, compensation or other consideration by CGP (except where prohibited by law).
CGP may prohibit any individual or group from participating in the Contest or winning a prize, if in its sole discretion, it determines that the individual or group is attempting to undermine the legitimate operation of the contest by cheating, hacking, deception or other unfair practices; if the individual or group violates the Official rules, acts in an unsportsmanlike or disruptive manner at any time during the Contest, or acts with intent to annoy, abuse, threaten or harass any other person or group. By submitting his/her recipe, the entrant accepts all the Official Rules and agrees to be bound by the terms and conditions of the OléAvocado Website and the decisions of the judges, which will be final.
Any recipe data submitted shall become, upon submission, the property of CGP to use as it sees fit. This includes, but is not limited to, the recipe itself, ingredients and their measurements, any serving suggestions or variations, and the instructions needed to prepare the recipe.
The entrants are solely liable for any material they upload or transmit to, and their use of, such interactive areas of the OléAvocado Website. The entrants agree not to upload, post, email, transmit, distribute or otherwise publish or make available any user material that may infringe upon any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party.
USE OF INFORMATION
Except as noted in the Official Rules or on the OléAvocado Website, information collected from each entrant is used only for the purpose of winner notification and will not be, sold or shared in any manner by CGP. In the event of any discrepancy between the privacy policy and these Official Rules, these Official Rules shall control and govern. By entering the Contest, you agree to the Official Rules and all of the terms and conditions relating to the Contest.
LIMIT:
No limit is placed on the amount of recipes that can be submitted. Eligible recipes must use OléAvocado® Guacamole. OléAvocado’s Chef Maggie will select three entrants from the batch of entries. She will contact them to inform their recipes have been chosen as finalist. Chef Maggie will prepare each of the recipes to be judge for a panel of foodie judges in San Antonio Texas on February 4th. The winner will be crown for this panel of local foodie judges and Cheff Maggie as the Guru of Guacamole. Recipes must be property of the entrant and no usage of copyrighted recipes will be tolerated per OléAvocado Recipe Submission Rules. Potential winners who are discovered during prize verification to have entered or attempted to enter a recipe that is copyrighted may be disqualified at the discretion of the judges.
PRIZE:
One (1) Grand Prize will be awarded being a $500.00USD toward Super Bowl party
Prize is not transferable and no other substitutions allowed. CGP shall have the right to use, alter, assign, reproduce, display, publish, distribute or dispose of all entries regardless of whether they win a prize, in CGP’s sole discretion and entrants shall have no right of approval or consultation with respect hereto. As a condition of claiming a prize or award, entrant will be required to sign and return a Certificate of Eligibility/Release of Liability within 5 days of the date of final notification. If any required documents are not returned within the required number of days, or if mail is returned to CGP as undeliverable mail without a forwarding address, the prize may be forfeited and an alternate winner may be selected at CGP’s discretion. Any portion of a prize not accepted by winner shall be forfeited.
JUDGING:
Decisions of judges are final and binding on all matters relating to this Contest and are not open to appeal.
WINNER NOTIFICATION:
Potential prizewinners will be notified by email, mail and/or telephone at the address and/or telephone number provided on the entry form. A potential winner must provide CGP with satisfactory proof that he/she is the authorized account holder of the email address associated with the potentially winning entry. Prize winners will be required to sign and return a Certificate of Eligibility and Release of Liability with, where lawful, a publicity release within five (5) calendar days of the date of the notification letter. If any required documents are not returned within the required time period, or if mail is returned to CGP as undeliverable, without a forwarding address, the prize may be forfeited and an alternate winner may be selected at CGP’s discretion. Any portion of a prize not accepted by a winner shall be forfeited. If applicable, allow four to six weeks for delivery of prize following completion of notification process. Prizes will only be delivered to addresses within the United States. Limit one prize per email address and per household.
ELIGIBILITY:
TO BE ELIGIBLE TO WIN, YOU MUST BE 18 YEARS OF AGE OR OLDER AS OF JANUARY 1, 2012 AND A LEGAL U.S. RESIDENT, RESIDING IN THE UNITED STATES, THROUGHOUT THE PROMOTION PERIOD. Potential winner may be required to provide proof of legal U.S. residency if requested by CGP to determine eligibility and as a condition of receiving any prize award. Employees of CGP and all of its respective parents, subsidiaries, divisions, affiliates, suppliers, printers, distributors and advertising, promotional and judging agencies and the immediate family members of each, are not eligible to participate in the Contest or to win prizes.
GENERAL:
The Official Rules shall be given their ordinary meaning and shall not be construed strictly for or against CGP. Any and all disputes or controversies related to the Official Rules or the Contest shall be construed, evaluated, and resolved according to the laws of the State of Texas, without giving effect to any choice or conflict of law provisions or rules that would cause the application of the laws of any jurisdiction other than the State of Texas, and shall be subject to all federal, state, local and municipal laws and regulations. This Contest is void where prohibited. No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prizes may not be redeemed for cash value, except as determined by CGP in its sole discretion. Prizewinners shall be solely responsible for payment of any and all applicable federal, state and local taxes on prizes. If applicable, winners may receive an IRS Form 1099 for the retail value of the prize. All other expenses in any way relating to the receipt and use of a prize, not specifically mentioned herein, are solely the responsibility of the winners. Any portion of a prize not accepted by winners will be forfeited.
CONDUCT AND AGREEMENT:
By participating in this promotion and the Contest, participants agree to be bound by these Official Rules, as they may be modified from time to time by CGP, and that the decisions of the judges that shall be final and binding in all respects. The Official Rules will be posted on the OléAvocado Website throughout the Promotion Period. Failure to comply with these Official Rules and any other rules set forth on the OléAvocado Website, which participant also agrees to abide by, may result in disqualification. CGP reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the participation process, the operation of the Contest, or the OléAvocado Website; or to be acting in any manner deemed by CGP to be: in violation of the Official Rules, unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST SHALL BE A VIOLATION OF THESE OFFICIALS RULES AND MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, CGP RESERVES THE RIGHT TO PROSECUTE SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO ENFORCE ANY OTHER LEGAL OR EQUITABLE REMEDIES TO WHICH CGP IS ENTITLED.
LIMITATIONS OF LIABILITY:
CGP assumes no responsibility or liability for: (a) any incorrect or inaccurate entry information; (b) any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Contest; (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of the cause, with regard to any video, equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Contest; (e) inaccessibility or unavailability of the Internet or the OléAvocado Website or any combination thereof; (f) any injury or damage to participants or to any other person’s computer which may be related to or resulting from any attempt to participate in the Contest or download of any materials related to the Contest. If, for any reason, the Contest is not capable of running as planned for reasons which may include, without limitation, legal limitations, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, then CGP reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest in whole or in part.
WINNER RELEASES:
All participants, as a condition of participation in the Contest, agree to indemnify, release, and hold harmless CGP, its partners, parents, subsidiaries, divisions affiliates, suppliers, printers, distributors and advertising, promotional or judging agents, from and against any and all liability, claims or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained in connection with accessing the OléAvocado Website, participating in any aspect of the Contest, the receipt, ownership or use of any prize awarded, or while preparing for, participating in or traveling to or from any prize-related activity or any prize-related activity or any typographical or other error in the Official Rules or the announcement of offering of any prize. The winner shall bear all risk of loss or damage relating in any way to their prize after it has been delivered. CGP DOES NOT MAKE, HAS NOT MADE, AND EXPRESSLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SAFETY OR PERFORMANCE OF ANY PRIZE, OR ANY ASPECT, FEATURE, OR CONDITION THEREOF, INCLUDING BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR REGARDING THE SUITABILITY OF ANY PRIZE FOR AN INTENDED USE. Except for where prohibited by law, winner grants to CGP the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known (including without limitation use online on any of CGP’s websites) the winner’s name, address, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes, as may be determined by CGP.
